| This is an agreement between you and infcam KK ("infcam") regarding the service ("Service") of providing royalty free images, sound, photographs, and any other digital materials ("Digital Materials" or "Digital Material") provided at this Web-site ("Site") managed and controlled by infcam. Please read this Agreement carefully. If you agree to the terms and conditions of this Agreement, please click the "Yes" button. infcam will amend this Agreement and upload it on the Site from time to time. Please confirm the amended Agreement accordingly. If you do not agree with the terms and conditions of this Agreement (including the amended version), you cannot use the Digital Materials contained in this Site. If you are entering into this Agreement on behalf of your employer or principle, the License (defined below) and all restrictions and limitations set forth herein shall apply to your employer and/or principal. You hereby warrant to Infacm that you have full authority to enter into this Agreement on behalf of your employer or principal. All Digital Materials are copyrighted and all rights to the Digital Materials are owned by infcam, its Licensors ("Licensor") or other legitimate right holders. All rights not specifically granted to you by this Agreement shall be retained by infcam, Licensor or other legitimate right holders. |

License |
| 1.1 |
Subject to your full payment for the license and your compliance with the terms of this Agreement, infcam grants you a non-exclusive license ("License") to use the Digital Materials, with or without modifications, either commercial or non-commercial purposes, in any contents, works, merchandise and products ("Contents") subject to the prohibitions set forth in Section 8 hereof and other restrictions contained herein. Each Digital Material shall be incorporated into other Contents in such a manner that it is clearly not intended to be separately downloaded, copied or distributed by any third party. You may download the Digital Materials as many times as needed. |

The License is non-transferable and any Contents that you produce using the Digital Materials must be your own use, or for the use of your employer, or for clients or customers who must be the end-users of the Contents. You may not sub-license, sell, assign, convey, dispose of, loan, give or otherwise transfer the license to use the Digital Materials granted hereunder to any third party. |

Payment |
| You shall pay royalty for Digital Materials to infcam at the method of payment designated by infcam at this Site. After receiving your payment, infcam shall notify you that the Digital Materials are downloadable. |
| 4: |
Quality of Digital Materials |
| You acknowledge that the quality and texture of each Digital Material may vary depending on the condition of the media that the original material was recorded because infcam digitizes original materials of Digital Materials as is received from the Licensor, when infcam registers the Digital Materials. Once the Digital Materials are purhcased, return or exchange is not allowed.

Confirmation of Usability and Damage to the Materials |
| Before purchasing the Digital Materials, please download the sample and confirm if it is usable on your personal computer. Further, if any material is damaged or lost due to any problems in communication line or a user's personal computer or any other event not attributable to infcam, when downloading the Digital Materials, infcam shall not be liable for such damage or loss in any way.

Display of Credit |
| If display of credit is possible for any publications, films, broadcasting programs, or video works, etc. including the Digital Materials, "Images provided by infcam" will be displayed on the credit. |
| 7: |
Prohibitions |
| You are prohibited from doing any act specified in the following by using the Service: |
| (i) |
To distribute, sell, lease, rent or license (collectively referred to as "Distribute") the Digital Materials as independent items, whether with or without consideration, either for commercial or non-commercial purposes. Even though you may Distribute the Work incorporating the Digital Materials, the primary value of such Work should not reside in the Digital Materials itself. |

To Distribute any Contents containing the Digital Materials in a way that would allow a third party to download, extract or access the Digital Materials as a stand-alone file. |
| (iii) |
To post the Digital Materials online as an independent item or place in any other electronic distribution system in a downloadable format or FTP or similar format. |
| (iv) |
To use the Digital Materials for download services of templates or by incorporating it into screensavers. |
| (v) |
To install the Digital Materials on a hard disk that is accessible by multiple personal computers connected by LAN, thereby using the Digital Materials through multiple personal computers. |
| (vi) |
To use the Digital Materials in any other article or visual moving image that, in whole or in part, contains false expression, or constitutes defamation, libel or slander, or other illegal conduct. |
| (vii) |
To use the Digital Materials in any manner that may be against public order or good morals. You may not use the Digital Materials in or on any adult video, DVD, CD-ROM or website, or other adult media, for pornography or sexual entertainment in any manner, regardless of whether or not such use is lawful, against public order or good morals. |
| (viii) |
To use the Digital Materials in any manner that may cause any harm to outlook, feature, dignity, fame or reputation of any subject of the image contained in the Digital Materials, including, without limitation, an individual, article, or landscape. |
| (ix) |
To use any of the Image as a part of trademark, a corporate name, or any other identification products or services, or register the Image as a trademark or a corporate name or in any manner whatsoever. |
| 9: |
Breach of this Agreement |
| If you violate any of the provisions of this Agreement, infcam is entitled to (i) cancel the License to the Digital Materials for which such violation has occurred, or (ii) terminate all of this Agreement. In that case, you may not use the Digital Materials or any Work using the Digital Materials thereafter and you shall pay an amount equivalent to the royalty for the Digital Materials concerned as a liquidated damages, and further compensate any damages that infcam has suffered due to such violation.

Limited Warranty and Limitation of Liabilities |
| 10.1 |
infcam warrants that: (i) it has been authorized by Licensor to grant License hereunder; and (ii) it has required the Licensor to register the Digital Materials, only if the Licensor has created the Digital Materials or it has completed copyright clearance necessary for the Service. Except as provided in this Section, infcam makes no warranties (express or implied) with respect to the Digital Materials or Service, including, without limitation, that the Licensor is a legitimate copyright holder, or the Licensor has completed the copyright clearance necessary to use the Digital Materials in this Service, the Digital Materials are technically error free, the implied warranties of merchantability and fitness for particular purpose. infcam grants no right or makes no warranties with respect to the use of likeness, design, works of art or architecture, names, trademarks, trade dress depicted in any Digital Materials, and you must obtain by yourself any and all necessary rights and consents regarding any of the above, as may be required for the intended use of the Content. While infcam makes efforts to place accurate caption information regarding the Digital Materials, infcam does not warrant that such information is accurate. |
| 10.2 | Except for any liability which cannot by law be excluded or limited, neither infcam nor any infcam's officer, director, employee, distributor, agent or partner, or Licensor shall be liable for any punitive, special, indirect, consequential or incidental damages, or lost profits arising out of the use or inability to use the Digital Materials or otherwise in connection with the Digital Materials, this Agreement or Service, even if infcam has been advised of the possibility of such damages. infcam's maximum liability hereunder shall, to the extent permitted by law, be limited to the amount of royalty paid by you for the particular Digital Materials concerned. |
| 11: | Your Responsibility and Indemnity |
| You shall solely be responsible for the use of the Digital Materials (including by you, your employer and client.) You shall resolve in your own responsibility any claim from or dispute with the Licensor or any third party arising in connection with your use of the Digital Materials. You hereby agree to indemnify and hold harmless infcam and its officers, directors, employees distributor, agent or partner, or Licensor against all claims, liabilities, damages, costs and expenses, including reasonable attorney's fees and expenses, arising out or related to any use of the Digital Materials or Image, including the use by your employer or client. |
| 12: | Cancellation of License |
| infcam may cancel the License for a particular Digital Materials [by notice to you] at any time: (i) if infcam determines that the Digital Materials or its use might infringe the rights of others or violate any law, (ii) if infcam receives a claim from a third party regarding the Digital Materials, or (iii) infcam determines that there is a possible dispute regarding the particular Digital Materials with a third party. Upon receiving such notice, you shall immediately cease the use of the Digital Materials. To the fullest extent permitted by law, your sole remedy for any recalled Digital Materials shall be, at infcam's sole discretion, the replacement of such recalled Digital Material with another Digital Material or the refund of any license fee paid attributable to such recalled Digital Material. |
| 13: | Governing Law and Jurisdiction |
This Agreement shall be governed by and construed in accordance with the laws of Japan. For any dispute arising in connection with this Agreement, the parties hereto shall submit to an exclusive jurisdiction of the Tokyo District Court of Japan as a first instance.
